SEC Form D Filings
Regulation D requires a notice to be filed with the SEC via a Form D “Notice of Exempt Offering Securities” by Companies and funds that have sold securities without registration under the Securities Act of 1933 in an offering based on a claim of exemption under Rule 504 or 506 of Regulation D.
State Blue Sky Filings
For Regulation D Rule 506(b) and 506(c) all states, with the exception of Florida, require a state filing be made within 15 days of the first sale of a securitie to an investor in their state. All states now use the North American Securities Administrators Association (NASAA) Electronic Filing Depository (EFD) for filing.
